Store Regulations
These General Conditions of Sale set out all the rights and obligations of WOOD BAKING SOLUTIONS and its Customer in relation to the sale of products:
Of wooden rings, squares, rectangles, oval ranges or other products, including bespoke solutions, all with or without personalisation, as well as any other item included in the WOOD BAKING SOLUTIONS catalogue.
No terms and conditions other than those contained herein will be binding on WOOD BAKING SOLUTIONS unless accepted in writing: any terms and conditions contained in any prior oral or written communication, including but not limited to customer orders, the customer’s general terms and conditions of purchase or any other commercial intermediaries, whether or not they would modify these terms and conditions, are hereby rejected. Accordingly, any services or goods provided by WOOD BAKING SOLUTIONS shall entail the acceptance without reservation of these General Terms and Conditions of Sale by the Customer.
Order
An order placed by the Customer shall not be binding on WOOD BAKING SOLUTIONS until it has been accepted in writing by WOOD BAKING SOLUTIONS and shall constitute an obligation on WOOD BAKING SOLUTIONS to deliver the goods in accordance with the prices and these terms and conditions of sale.
An order confirmation/Proforma is sent by WOOD BAKING SOLUTIONS to the Customer.
The order placed by the Customer constitutes a binding and irrevocable commitment to accept the delivery or collection of the products, as well as to pay the price specified in accordance with the General Conditions of Sale.
Price
Goods are sold as multiples of minimum quantities.
WOOD BAKING SOLUTIONS’ prices are quoted on an “Ex-Works” basis.
Therefore, all transport and insurance costs remain with the customer.
Prices are valid on the day the order is placed. They are quoted and payable exclusively in EURO.
The amount of any sales tax, value added tax, value added tax, import duties or tariffs, bank charges, if any, applicable to the Products and/or payments and/or related services will be added to the applicable price and will be paid by the Customer.
WOOD BAKING SOLUTIONS reserves the right to modify its catalogue, website content, General Terms and Conditions of Sale and price lists at any time without prior notice. However, the order is binding on the basis of the price list and the General Conditions of Sale as of the date of order confirmation.
WOOD BAKING SOLUTIONS reserves the right to change the tariffs of orders already accepted if this is justified by significant changes in the market situation. The customer then has the option to accept the new tariff conditions or to cancel the order without prejudice to either party.
Discount for prepayment
The customer will not receive any discount for prepayment or payment in cash.
Payment terms
Orders will only be triggered and delays will only be settled after payment has been made by SWIFT transfer or SEPA payments and the full amount has been credited to our accounts, unless otherwise agreed in writing.
Consequences of late payment
In the event of late payment WOOD BAKING SOLUTIONS reserves the right, in addition to any other available remedies, at its own discretion and without prior notice:
Suspend deliveries and refuse to honour any new orders until all outstanding bills have been paid in full by the Customer,
Charge, without prior notice, a penalty fee of 3 times the statutory interest on overdue invoices. The statutory interest will be calculated from the date of delivery. This penalty is calculated on the basis of the amount outstanding from the due date.
Charge a fixed fee of EUR 40 to cover collection costs. If the collection costs exceed EUR 40, WOOD BAKING SOLUTIONS may demand an additional fee to cover its costs.
Termination clause
If 15 days after the activation of clause 7 (consequences of non-payment) the customer does not pay the remaining amounts due, the sale will be cancelled in full and may open WOOD BAKING SOLUTIONS’ right to claim damages.
Ownership clause
The goods will remain the legal property of WOOD BAKING SOLUTIONS and ownership of the goods will not pass to the Customer until the price for the goods has been paid in full and effectively received by WOOD BAKING SOLUTIONS.
In the case of resale of the products, the Customer shall include the same terms and conditions in the contract with its own buyer as set out in this chapter.
Accordingly, if the Customer ceases to operate its business, becomes insolvent, goes into liquidation, appoints a liquidator for all or part of its assets, enters into a settlement with its creditors or breaches any of the accepted provisions hereof, the Customer hereby irrevocably authorises WOOD BAKING SOLUTIONS to enter the Customer’s premises to recover any and all products that may be in its possession, provided that said products have not been paid for.
Delivery – collection
Delivery can be provided in one of the following ways:
By handing over the goods directly to the customer or to a forwarder appointed by the customer.
By sending a notice of availability for collection to the customer’s attention
By transporting the goods to the place indicated in the Customer’s order and order confirmation.
Regardless of the method, the risk of transport is entirely the responsibility of the Customer.
In the case of a delivery address other than the billing address, the Customer shall clearly indicate the two different addresses on the order placed, including any special delivery instructions. In the event of erroneous or incomplete information which has resulted in the forwarding agent’s inability to deliver, a second delivery will only be made if the Customer pays the additional appropriate transport cost for the second delivery.
All delivery or collection dates mentioned are approximate and are not guaranteed.
Consequently, any reasonable delay in delivery or collection will not be subject to any penalties, compensation or cancellation of the order.
Title and risk of loss shall pass to the Customer upon delivery to the carrier. Unless otherwise indicated and agreed with the Customer in writing, Products will be shipped without insurance. Shipping dates are estimates only and WOOD BAKING SOLUTIONS shall not be liable for any loss or damage caused by a delay in delivery or failure to give notice of a delay in delivery. The customer is responsible for all freight charges, border charges, transit insurance (if applicable) and any handling charges.
In the event of missing or damaged goods, loss or any other damage to the goods, the customer should indicate any necessary reservations on the delivery note or any other formal document to be signed for transport in order to commit the freight forwarder to liability. In the event of an unqualified or incomplete acceptance on the part of the Buyer regarding damaged or missing goods, the Buyer shall relinquish responsibility to WOOD BAKING SOLUTIONS for any failure.
In the case of missing or damaged goods, the customer will have to expressly notify WOOD BAKING SOLUTIONS in writing within five days of delivery, by registered letter. The letter must be accompanied by a photo of the damaged goods and packaging. Otherwise WOOD BAKING SOLUTIONS will not assert any claims.
Any complaints regarding the quality of the goods should include the consignment number and a photo showing the defect.
In the event that the customer does not accept delivery, as well as in the event of shortages on the part of the customer and regardless of the reason, all initial and additional charges for transport will be invoiced to the customer.
Any claims must be made no later than 6 months after dispatch or notice of acceptance in order to be taken into account by WOOD BAKING SOLUTIONS. After this date, the products are deemed to have been accepted by the buyer without any restrictions.
Any goods returned to WOOD BAKING SOLUTIONS must be agreed in advance with WOOD BAKING SOLUTIONS.
Conditions of use / heating and reheating
This point applies only to products intended for baking. Remove any blister or plastic film covering the wooden moulds. Place the tin in the centre of the oven. Never place the tin just below the cooking grate. Keep the mould away from the electrical resistance and/or flame.
When the grill is on, keep an eye on it throughout the cooking time.
Take special care that the wooden moulds do not come into contact with the sides, bottom or top of the oven.
When the smell changes (which is a normal consequence), open the oven, check its general appearance and adjust the temperature.
NEVER cook below 220°C (i.e. 428°F)
Food in wooden moulds can be reheated under normal microwave oven conditions.
Do not place products in the oven for presentation only.
Force majeure
WOOD BAKING SOLUTIONS shall not be liable for failure to perform its contractual obligations to the Customer if it is unable to perform such obligations in whole or in part as a result of a cause beyond its reasonable control, including but not limited to strike, lightning, storm, flood, fire, earthquake or explosion, act of a public enemy, war, blockade, revolution, riot, insurrection, civil commotion, any action, inaction, demand, injunction, restriction, requirement, prevention, thwarting or obstruction by or of any person, government or other competent authority, or embargo, unavailability of a material item or other material failure of transportation, each of which constitutes a Force Majeure event. In the event that WOOD BAKING SOLUTIONS is unable to fulfil its obligations as a result of a Force Majeure event, WOOD BAKING SOLUTIONS shall immediately notify the Customer.
Order modification
The customer may modify his order by written notice. Only a written confirmation sent by WOOD BAKING SOLUTIONS will mean that the modification has been accepted. If this is not the case, the customer will be immediately notified that his request for modification is not feasible. The original order will therefore remain binding on the Customer.
Personalisation
The customer is charged for logo customisation. Each time a new logo is used, an adaptation fee is charged to make it available for all products. Proof will be sent to the Customer for approval. A maximum of 3 proofs will be provided to the Client for any required modifications. Each additional proof required will be subject to additional costs.
Each logo modification or new personalisation will be subject to a new fee.
The personalisation fee will be added to each personalised product. As wood is a living element, the total number of personalised end products cannot be accurately predicted during production. WOOD BAKING SOLUTIONS will try to produce a quantity as close to the order as possible.
Dedicated stocks
Some customers may ask WOOD BAKING SOLUTIONS to hold dedicated stocks of products (specified or personalised) in order to speed up delivery times. WOOD BAKING SOLUTIONS may or may not do so, without justification. In the case of acceptance, the customer agrees to purchase all of the dedicated stock within 6 months of the production date, according to the actual conditions. After this time, the stock may be invoiced to the Customer, as may the storage charge.
Order cancellation
Any cancellation, modification or postponement of a customer order is subject to the approval of WOOD BAKING SOLUTIONS.
WOOD BAKING SOLUTIONS will not accept order cancellations unless agreed.
In the event of order cancellation, the following conditions apply:
The price of any dedicated large scale production, dedicated product or personalised product will have to be paid and any cancellation will be rejected for whatever reason.
In the case of orders for neutral products and reasonable quantities to be produced, WOOD BAKING SOLUTIONS may accept cancellations prior to the transfer of ownership, provided that a cancellation compensation of 20% of the order (in addition to transport costs) is calculated and paid by the Customer.
In the event that delivery has already been made or will be made by WOOD BAKING SOLUTIONS, the cost of transport and the cost of return transport will be paid in full by the Customer.
Applicable law and jurisdiction
These General Terms and Conditions of Sale shall be governed exclusively by Polish law. The United Nations Convention on the International Sale of Goods shall not apply. The parties agree that the exclusive court of jurisdiction for all disputes concerning the enforceability, interpretation, termination or any other issue related to these General Terms and Conditions of Sale shall be the Commercial Court in Poznań.
If one of the mentioned provisions of these General Conditions of Sale is found to be invalid, illegal, void or inapplicable, for whatever reason, this shall not affect the validity and effectiveness of all other provisions of these General Conditions of Sale.
